CONFIDENTIALITY COMMITMENT AGREEMENT

1. PURPOSE

This Confidentiality Commitment (“Agreement”) is designed to protect the confidential, proprietary, commercial, technical, and strategic information belonging to NaijaTradeHut™, its parent company Data Innovations, its affiliates, partners, subscribers, employees, contractors, vendors, and stakeholders.

By accessing, subscribing to, contributing to, participating in, or using any aspect of NaijaTradeHub, the recipient acknowledges the sensitive and proprietary nature of the information provided and agrees to maintain strict confidentiality in accordance with the terms outlined herein.

2. DEFINITION OF CONFIDENTIAL INFORMATION

For the purpose of this Agreement, “Confidential Information” includes, but is not limited to:

Business Information

  • Business strategies and operational methods.

  • Market intelligence and commercial insights.

  • Industry reports and analysis.

  • Revenue models and pricing structures.

  • Supplier and distributor information.

  • Customer acquisition strategies.

  • Sales methodologies and marketing plans.

  • Expansion strategies and business development plans.

Technical Information

  • Software designs and architecture.

  • Databases and data structures.

  • Source code, scripts, APIs, and integrations.

  • Security procedures and protocols.

  • Proprietary algorithms and automation systems.

  • Platform features, workflows, and methodologies.

Trade and Commercial Information

  • Trade opportunities and leads.

  • Import and export intelligence.

  • Procurement information.

  • Product sourcing channels.

  • Vendor relationships.

  • Market pricing information.

  • Commercial negotiations and arrangements.

Intellectual Property

  • Documents, manuals, templates, frameworks, and methodologies.

  • Research findings and proprietary studies.

  • Training materials and educational content.

  • Brand assets and marketing materials.

  • Proprietary processes and operational procedures.

User Information

  • Subscriber data and account information.

  • Customer records and communications.

  • Contact details of members, clients, or partners.

  • User-generated content submitted to the platform.

Data Innovations Proprietary Information

The term Confidential Information expressly includes all proprietary information belonging to Data Innovations, whether directly or indirectly disclosed through NaijaTradeHut, including:

  • Existing and future products.

  • Software projects under development.

  • Business models and commercial strategies.

  • Client information.

  • Internal policies and procedures.

  • Research and innovation initiatives.

  • Financial information and projections.

  • Strategic partnerships and negotiations.

3. CONFIDENTIALITY OBLIGATIONS

The recipient agrees that they shall:

  • Treat all Confidential Information as strictly confidential.

  • Exercise reasonable care and diligence in protecting such information.

  • Use the information solely for lawful purposes related to their use of NaijaTradeHub.

  • Prevent unauthorized access, disclosure, reproduction, or distribution of confidential materials.

  • Implement adequate safeguards to protect confidential information under their control.

4. RESTRICTIONS

Without prior written authorization from Data Innovations, the recipient shall not:

  • Copy, reproduce, distribute, publish, or resell confidential materials.

  • Share subscriber-only content with non-subscribers.

  • Upload confidential information to public platforms or social media.

  • Reverse engineer, decompile, or attempt to recreate proprietary systems.

  • Use confidential information to establish or support competing businesses or services.

  • Use confidential information for personal commercial gain outside the scope of authorized use.

  • Transfer login credentials or grant unauthorized individuals access to restricted materials.

  • Misrepresent proprietary content as their own intellectual property.

5. NON-COMPETITION AND NON-CIRCUMVENTION

Recipients agree that they shall not:

  • Use information obtained through NaijaTradeHut to compete directly with Data Innovations or NaijaTradeHut.

  • Circumvent relationships, suppliers, partners, clients, or opportunities introduced through the platform for unauthorized personal gain.

  • Exploit confidential opportunities or business intelligence obtained through the platform without authorization.

6. OWNERSHIP OF INFORMATION

All Confidential Information remains the sole and exclusive property of:

  • Data Innovations

  • NaijaTradeHut

  • Their affiliates, licensors, partners, contributors, and stakeholders.

Nothing contained in this Agreement grants any ownership rights, licenses, patents, trademarks, copyrights, or other intellectual property rights to the recipient except for the limited right to access materials in accordance with their subscription or authorization level.

7. INTELLECTUAL PROPERTY PROTECTION

All content, databases, reports, designs, graphics, systems, methodologies, software, trademarks, logos, names, branding materials, and documentation associated with NaijaTradeHut are protected by applicable intellectual property laws.

Unauthorized use, duplication, modification, redistribution, republication, or commercialization may result in legal action, financial claims, account termination, and other remedies available under applicable law.

8. EXCEPTIONS

The obligations contained in this Agreement shall not apply to information that:

  • Is already publicly available through lawful means.

  • Becomes publicly available without breach of this Agreement.

  • Was lawfully known to the recipient prior to disclosure.

  • Is required to be disclosed by law, court order, or governmental authority, provided reasonable notice is given where legally permissible.

9. SECURITY RESPONSIBILITIES OF USERS

Subscribers and users are responsible for:

  • Maintaining the confidentiality of their login credentials.

  • Preventing unauthorized access to their accounts.

  • Promptly reporting suspected breaches or unauthorized access.

  • Ensuring that devices used to access the platform are reasonably secure.

Data Innovations shall not be liable for losses arising from negligence in safeguarding account credentials.

10. BREACH OF CONFIDENTIALITY

Any unauthorized disclosure, misuse, theft, redistribution, reproduction, or exploitation of Confidential Information shall constitute a material breach of this Agreement.

Data Innovations reserves the right to:

  • Suspend or terminate accounts without refund.

  • Restrict future access to NaijaTradeHut products and services.

  • Seek injunctive relief.

  • Pursue damages and financial compensation.

  • Initiate civil or criminal proceedings where applicable.

  • Recover legal costs and enforcement expenses.

11. SURVIVAL OF OBLIGATIONS

The obligations contained in this Agreement shall survive:

  • The expiration of subscriptions.

  • Account termination.

  • Cancellation of membership.

  • Completion of any contractual relationship with NaijaTradeHut or Data Innovations.

The duty of confidentiality shall remain in effect indefinitely or for the maximum period permitted by applicable law.

12. NO WAIVER

Failure by Data Innovations or NaijaTradeHut to enforce any provision of this Agreement shall not constitute a waiver of any rights or remedies available under law or contract.

13. SEVERABILITY

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without prejudice to any international rights or protections available to Data Innovations and NaijaTradeHut under applicable intellectual property, commercial, or data protection laws.

15. ACKNOWLEDGEMENT

By accessing, subscribing to, purchasing, contributing to, or using NaijaTradeHub, the user acknowledges that they have read, understood, and agreed to comply with this Confidentiality Commitment and all associated obligations.

The user further acknowledges that NaijaTradeHub is a proprietary digital platform owned, operated, and protected by Data Innovations, and that all rights, titles, interests, improvements, and derivatives arising from the platform remain the exclusive property of Data Innovations unless expressly agreed otherwise in writing.

CONFIDENTIALITY STATEMENT

“The success of NaijaTradeHub depends upon the protection of its proprietary knowledge, commercial intelligence, and strategic assets. Every subscriber, partner, employee, contractor, and stakeholder shares the responsibility of preserving that confidentiality and protecting the interests of Data Innovations and its associated platforms.”
